e-con Systems warrants to the Customer that Products meet the specifications at the time of delivery to the Customer and that Products will be free from any substantial defects under normal use during the Warranty Period, which begins on the date of shipment by e-con Systems to Customer.

The warranty applies exclusively to products purchased directly from e-con Systems through its official channels. Products obtained from any third party, including unauthorized resellers, distributors, or online marketplaces, are not eligible for warranty coverage. e-con Systems reserves the right to request proof of purchase to verify eligibility for warranty claims. 9. Force Majeure

e-con Systems is not liable for any performance delays or for failures in whole or in part, caused by situations beyond its reasonable control; examples include riot, strikes, war, terrorist acts, transport/supplier/production problems, sabotage, accident, natural disasters, fire, explosion, exchange fluctuations, etc., If such situation exceeds a period of 3 months, this Agreement may be terminated by either party without compensation.

10. Termination

e-con Systems reserves the right to decline or terminate any order without explanation, for whatsoever reason, intimate about the decline and refund customer as soon as possible. e-con Systems shall have the right to terminate this Agreement immediately by email message - if Customer or any one associated with the customer has breached or are suspected to breach their country's customs regulations. Either party may terminate this Agreement with immediate written notice if the other commits a material or persistent breach of this Agreement and fails to remedy this within 20 days of written notice from the other. Becomes insolvent or is unable to pay debts as they fall due.

11. Data Protection and Consent to Transfer of Data

Customer data shall be held and/or transferred in accordance with the applicable data protection laws. Customer agrees and consents that e-con Systems may transfer Customer's data to an e-con Systems company or affiliate outside of the USA, to a country which may offer a different level of data protection. e-con Systems shall put sufficient safeguards in place to ensure a corresponding level of data protection.

12. Governing Law and Jurisdiction

This agreement shall be construed and enforced according to the laws of the State of Missouri USA, if payments are made to e-con Systems Inc., and according to the laws of country India, if payments are made to e-con Systems India Private Ltd.

13. Current Policies and Modifications

Customer should review details on Product, current e-con Systems policies, which can be found at www.e-consystems.com. e-con Systems reserves the right to make changes to its policies and these Terms and Conditions at any time, effective upon posting of an updated version to its website at www.e-consystems.com. Customer is responsible for reviewing the websites for any further updates.

All intellectual property rights in and to the products, including but not limited to trademarks, copyrights, patents, designs, and any proprietary content provided with the product, remain the sole property of e-con Systems or its licensors.

The customer is granted a limited, non-exclusive, non-transferable license to use the product solely for personal or internal business purposes, as applicable. The customer shall not:

• A. Copy, modify, distribute, reverse engineer or create derivative works from the product.
• B. Remove, alter, or obscure any proprietary notices or labels on the product.
• C. Use the product in any manner that infringes the intellectual property rights of e-con Systems or any third party.

The customer agrees to indemnify, defend, and hold harmless e-con Systems and their affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to the customer's use of the products or any violation of these terms and conditions.

To the fullest extent permitted by applicable law, in no event shall e-con Systems be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, incurred by the customer or any third party, whether in an action in contract, tort (including negligence), or otherwise, arising from the purchase, use, or inability to use the products sold on this website, even if e-con Systems has been advised of the possibility of such damages.

e-con Systems shall not be held liable for any actions, misuse, or negligence by the customer in connection with the products purchased through this website. The customer bears sole responsibility for ensuring compliance with applicable laws, regulations, and usage guidelines related to the purchased products.

Support services will be provided only for products purchased directly from e-con Systems. e-con Systems does not offer support for any products acquired through third-party sellers or other unauthorized sources. Customers must ensure their purchase is made through authorized channels, as no exceptions will be made for products sourced outside of e-con System's direct distribution network.

Upon the successful purchase and delivery of the product, ownership of the product shall transfer to the customer, subject to the full payment being received by e-con Systems. e-con Systems retains ownership of all intellectual property rights associated with the product, if applicable, unless expressly agreed otherwise in writing.

The customer agrees that the purchase of the product is for personal use or internal business purposes only and not for resale, distribution, or any commercial exploitation.

The customer shall not:

• A. Sell, resell, lease, or sublicense the product to any third party.
• B. Use the product in any manner inconsistent with the purpose for which it was sold.

Any violation of this clause may result in immediate termination of the license granted and may subject the customer to legal action.

The products are provided on an "as is" and "as available" basis without any representations or warranties of any kind, either express or implied, except as explicitly stated in our warranty policy (available at warranty page). e-con Systems does not guarantee that the products will meet your requirements or that their operation will be uninterrupted or error-free. We recommend consulting with e-con Systems to select the appropriate product for your specific usage and needs.

If the customer enters into a definitive agreement with e-con Systems for the purchase of products, the terms and conditions set forth in such definitive agreement shall supersede and apply in place of the terms and conditions outlined herein. In the absence of a signed definitive agreement, the terms and conditions stated on this website shall govern the purchase of products.
